India’s Unacademy sells to rival upGrad for $206M, about 94% less than its peak valuation
Indian edtech startup Unacademy has been acquired by rival upGrad for approximately $206 million in an all-stock deal. This valuation represents a 94% decrease from Unacademy's peak valuation of $3.44 billion in 2021. Unacademy co-founder and CEO Gaurav Munjal confirmed the deal, noting that the company had significant cash reserves and profitable businesses, but sought greater scale. The acquisition includes Unacademy's language-learning app, Airlearn, and the Unacademy brand will be retained, with Munjal continuing as CEO focusing on online operations and Airlearn. No layoffs are planned for Unacademy's approximately 1,000 employees.
The acquisition of Unacademy by upGrad for $206 million, a steep drop from its $3.44 billion peak, reflects a significant recalibration in India's edtech sector. Despite Unacademy's reported $94.8 million in the bank and profitable segments, the move suggests a strategic pivot towards scale and diversification, particularly into offline education, which upGrad has a stronger presence in. This consolidation points to a maturing market where pandemic-driven growth has given way to a focus on sustainable business models and broader educational offerings. The deal also highlights the challenges faced by Indian startups that raised capital at inflated valuations during the boom years. The retention of the Unacademy brand and Gaurav Munjal as CEO, with a focus on online operations and the Airlearn app, indicates upGrad's intent to integrate rather than dismantle. The future of Airlearn, with its 10 million users across 150 countries, will be a key area to watch. Its potential to raise external capital in six months suggests upGrad sees global growth potential in the language learning segment, which could become a significant export for Indian tech. This transaction offers a case study for other Asian startups navigating post-pandemic market corrections.
